NERD ON CALL SERVICES

CREATOR AGREEMENT

Between Smarsome LLC dba Nerd On Call Services (“Company”) and the undersigned content creator (“Creator”)

1. Purpose

The Creator agrees to provide content (such as videos, graphics, text, images, or audio recordings) (“Submissions”) for use in marketing and promoting Nerd On Call Services.

2. License to Use Content

The Creator grants the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, and distribute the Submissions for marketing purposes across all media formats, including social media, websites, email, and advertising.

3. Ownership

The Creator retains full ownership of their content. This Agreement does not transfer intellectual property rights, but grants the Company permission to use the content as described above.

4. Compensation

A. General Attribution

The Creator will receive 10% of the net profits from sales attributed to the use of their content in the Company’s marketing campaigns.

B. Unique Code Commission

The Creator will receive 17% of the net profits from sales made using a unique referral or promo code provided by the Company.

Net profits are defined as total revenue minus direct costs such as refunds, processing fees, and fulfillment expenses.

5. Payment Terms

• Payments are made monthly, within 15 business days after each month ends.
• Payment method: [e.g., PayPal, direct deposit, etc.].
• Minimum payout threshold: $50 (amounts under will carry over).

6. Term and Termination

• This Agreement is ongoing and may be terminated by either party with 14 days’ written notice.
• Previously submitted content may continue to be used in archived or evergreen campaigns unless removal is mutually agreed upon in writing.

7. Independent Contractor

The Creator is an independent contractor and not an employee, agent, or legal representative of the Company.

8. Governing Law

This Agreement shall be governed and interpreted in accordance with the laws of the State of Texas, without regard to conflict of law principles.

9. Digital Acceptance

By checking the box or digitally signing below, the Creator agrees to all terms of this Agreement. This acceptance is legally binding and enforceable.
