NERD ON CALL SERVICES

1. Independent Contractor Status

Contractor understands they are engaged as an independent contractor and not an employee of Nerd On Call Services.

Contractor is responsible for:

• Their own taxes and reporting
• Personal equipment and workspace
• Managing their own schedule outside of assigned work

Nothing in this agreement creates employment, partnership, or joint venture.

2. Scope of Work

Contractor may be offered opportunities including but not limited to:

• Recruiting
• Creative services
• Technical services
• Administrative support
• Client-based or internal projects

Work is assigned based on:

• Availability
• Performance
• Professionalism
• Business needs

The Company does not guarantee a minimum amount of work or earnings.

3. Performance & Professional Standards

Contractor agrees to:

• Maintain professionalism in all communications
• Attend scheduled meetings or assignments on time
• Communicate if unavailable
• Complete accepted work responsibly
• Treat clients and team respectfully
• Represent Nerd On Call Services professionally

Failure to maintain professionalism or reliability may result in removal from assignments or termination of contractor relationship.

4. Payment Terms

Contractor understands:

• Payment is bi-weekly
• Payment is issued for completed and approved work only
• Incomplete, abandoned, or unapproved work may not be paid
• Payment methods may include Zelle or PayPal
• Contractor is responsible for submitting accurate payment details

5. Confidentiality

Contractor agrees not to share, misuse, or distribute:

• Company information
• Client information
• Internal processes
• Team communications

This applies during and after involvement with Nerd On Call Services.

6. Non-Solicitation

Contractor agrees not to:

• Solicit company clients independently
• Redirect clients for personal gain
• Recruit team members away from company opportunities

All clients and opportunities provided remain property of Nerd On Call Services.

7. Removal or Termination

Nerd On Call Services reserves the right to remove or discontinue working with any contractor at any time due to:

• Unprofessional behavior
• Lack of communication
• Missed assignments
• Misconduct
• Violation of agreements

Contractors may also discontinue participation at any time with no on-going project, failure to comply will result in a no-rehire status.

8. Global Contractor Understanding

Contractor acknowledges they may be working remotely with an international team and agrees to maintain clear communication, professionalism, and respect across all interactions.

• I understand payment is bi-weekly based on completed work
• I understand opportunities are performance-based
• I agree to maintain professionalism and communication
• I am serious, committed, and ready to operate professionally
• I understand failure to maintain standards may result in removal
